By accessing or using the services provided by Utlyze ("Company," "we," "us," or "our") at utlyze.com, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

These terms apply to all visitors, users, and customers who access or use our platform and related services.

Utlyze provides AI-powered automation solutions designed for small and medium-sized businesses. Our services include but are not limited to: AI voice agents, automated follow-up systems, lead recovery workflows, review generation, patient reactivation, and related business automation tools.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will make commercially reasonable efforts to notify you of significant changes that affect your use of the platform.

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to update it as necessary. You must notify us immediately of any unauthorized use of your account.

Certain services require payment. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated or required by law.

We may change pricing with at least 30 days' written notice. Continued use of paid services after a price change constitutes acceptance of the new pricing. If you disagree with a price change, you may cancel your subscription before the new pricing takes effect.

Failure to pay may result in suspension or termination of your access to paid features.

All content, features, and functionality of the Utlyze platform — including but not limited to text, graphics, logos, software, and AI models — are owned by Utlyze and protected by intellectual property laws.

You retain ownership of any data or content you submit to the platform. By using our services, you grant Utlyze a limited, non-exclusive license to process your data solely for the purpose of delivering the services you've requested.

You may not copy, modify, distribute, sell, or lease any part of our platform or its underlying technology without our explicit written consent.

You agree not to use our services to:

• Violate any applicable law or regulation
• Send spam, unsolicited communications, or deceptive messages
• Interfere with or disrupt the platform's infrastructure
• Attempt to gain unauthorized access to any part of the service
• Use the platform in any way that could harm Utlyze or its users
• Resell or redistribute our services without authorization

To the maximum extent permitted by law, Utlyze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of our services.

Our total liability for any claim arising from these terms or your use of the services shall not exceed the amount you paid to Utlyze in the twelve (12) months preceding the claim.

We provide our services "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Either party may terminate this agreement at any time. You may cancel your account by contacting us at james@utlyze.com or through your account settings.

We may suspend or terminate your access if you violate these terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to our platform or other users. We will provide notice when feasible.

Upon termination, your right to use the services ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it may be deleted in accordance with our Privacy Policy.

These terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Utah.

Before pursuing formal legal action, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

We may update these Terms of Service from time to time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by email or through the platform.

Your continued use of the services after any changes indicates your acceptance of the updated terms. If you do not agree, you should discontinue use of the services.
